Volunteer Intern Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in the Volunteer–Intern Programme of Treescape Planet Organization (“TPO”). They must be read together with the individual written Placement Agreement. The Placement Agreement shall state the placement-specific details, including the classification of the placement, dates, duties, location, fees, payment schedule, accommodation, insurance arrangements and any approved allowances or reimbursements.

ARTICLE 1: PRELIMINARY PROVISIONS AND INTERPRETATION

1.1 In these Terms, “TPO” means Treescape Planet Organization; “Participant” means an individual accepted into the Programme as an intern or volunteer; “Placement Agreement” means the written agreement or placement confirmation issued or approved by TPO; “Programme” means TPO’s volunteer and internship activities; and “Confidential Information” means non-public information concerning TPO, its staff, partners, donors, volunteers, project participants, finances or operations.

1.2 These Terms establish the general conditions of participation. The Placement Agreement records the arrangements applicable to the individual placement and shall be read together with these Terms.

1.3 Where a placement-specific provision expressly differs from these Terms, the Placement Agreement shall apply to that specific matter to the extent of the stated difference, subject to applicable law.

1.4 Any amendment, waiver or special arrangement must be recorded in writing and approved by the authorised representatives of the parties.

1.5 If any provision is invalid or unenforceable under applicable law, the remaining provisions shall continue to apply to the extent permitted by law.

1.6 Nothing in these Terms excludes, limits or waives a statutory right, duty or liability that cannot lawfully be excluded, limited or waived.

ARTICLE 2: PURPOSE AND SCOPE OF THE PROGRAMME

2.1 The Programme provides practical learning and professional development in a multicultural, community-based environment, enabling participants to apply their academic knowledge, professional skills and creativity to environmental conservation, climate action, community development and sustainable livelihoods.

2.2 Participants may contribute to TPO’s mission through afforestation, agroforestry, reforestation, environmental education, ecotourism, sports sustainability and community-led climate-resilience initiatives.

2.3 Depending on the participant’s background, interests, placement location and project needs, activities may include:

  1. sustainable land use, agroforestry and climate resilience;
  2. tree nurseries, tree planting, reforestation and restoration monitoring;
  3. GIS, field mapping, data collection and environmental monitoring;
  4. sustainable site planning and environmental management;
  5. community engagement, environmental education and youth mobilisation;
  6. gender equality, community resilience and sustainable livelihoods; and
  7. ecotourism, sports sustainability, communications, project management and organisational development.

2.4 The placement will be designed, as reasonably practicable, around the participant’s learning objectives and TPO’s programme priorities. Assignments may be adjusted in response to seasonal conditions, weather, project schedules, community needs, partner availability, safety considerations or operational requirements.

ARTICLE 3: ELIGIBILITY, ADMISSION AND PLACEMENT CLASSIFICATION

3.1 Applicants must be at least eighteen (18) years old; have sufficient working knowledge of English; demonstrate a genuine interest in TPO’s mission; possess relevant knowledge, skills or interest for the placement; be willing to participate in practical and community-based activities where required; demonstrate cultural sensitivity and professionalism; agree to follow TPO policies and safety requirements; and submit documents reasonably required before commencement.

3.2 Previous experience in environmental management, agroforestry, GIS, planning, community development, education, communications or project management may be an advantage, depending on the placement.

3.3 Admission is subject to TPO’s assessment of the application, placement capacity and programme requirements. Acceptance is confirmed only through written communication from TPO.

3.4 Before the placement begins, TPO shall identify and document the intended nature of the engagement as an educational internship, student attachment, genuine volunteer placement or employment engagement, as applicable to the actual circumstances.

3.5 The title used in these Terms is descriptive only. The legal status of the relationship shall be determined by its substance and applicable Ugandan law. Nothing in these Terms removes employment protections where the actual arrangement constitutes employment.

3.6 The Placement Agreement shall state the participant’s learning objectives, duties, supervision, duration, working schedule, location, any stipend or allowance, and whether the placement is arranged through an educational institution. Payments shall be described accurately and shall not be used to disguise wages where the law treats them as remuneration.

3.7 TPO and the participant shall comply with applicable employment, occupational safety and health, NGO, safeguarding, immigration and other laws. No participant shall be required to perform unlawful, unsafe or unauthorised work.

ARTICLE 4: DURATION AND PLACEMENT ARRANGEMENTS

4.1 The standard placement duration is a minimum of one (1) week and a maximum of eight (8) weeks, unless TPO expressly approves a different duration in writing.

4.2 The Placement Agreement shall confirm, as applicable, the classification, start and end dates, work arrangements, learning objectives, assignments, location, accommodation, fees, payment schedule, insurance arrangements and approved allowances or reimbursements.

4.3 An extension or change of placement must be requested in advance and approved in writing. Approval may be subject to revised fees, accommodation, insurance, travel and other logistical arrangements.

4.4 A participant must not assume that an extension, change of placement or continuation of accommodation has been approved unless TPO confirms it in writing.

ARTICLE 5: DUTIES, LEARNING OBJECTIVES AND SUPERVISION

5.1 TPO shall designate a supervisor or focal person to coordinate the placement, provide reasonable guidance, communicate assignments and review progress.

5.2 Assignments may include supporting tree nurseries, planting and agroforestry plots; working with farmers, schools, youth groups and communities; field mapping and environmental data collection; restoration monitoring; sustainable site assessment and planning; environmental education; project documentation; research; report writing; communications; stakeholder engagement; administration; and monitoring and evaluation.

5.3 The participant shall follow the agreed work plan and lawful instructions from authorised supervisors; attend scheduled meetings, field activities, briefings and evaluations; communicate availability, progress, challenges and absences promptly; complete assignments to the best of their ability; and seek clarification when necessary.

5.4 The participant shall maintain accurate records, meet agreed deadlines and submit progress reports, learning reflections, a final report and other deliverables specified in the Placement Agreement.

5.5 The placement may involve office-based work, remote assignments, community visits, fieldwork or a combination, as stated in the Placement Agreement or subsequently agreed in writing.

5.6 Participation does not, by itself, guarantee future employment, a stipend, academic credit or a permanent position with TPO. This clause does not determine or override the legal status of an arrangement where applicable law provides otherwise.

ARTICLE 6: FEES, PAYMENTS, CANCELLATIONS AND REFUNDS

6.1 Before the participant accepts the placement or pays a fee, TPO shall provide a written fee schedule stating the total price and currency, payment deadlines, inclusions, exclusions, third-party costs where applicable, cancellation terms, refund method and expected processing period.

6.2 The participant shall pay only amounts stated in the Placement Agreement or subsequently agreed in writing. TPO shall issue or make available a receipt or written payment confirmation.

6.3 Programme fees may contribute to agreed hosting and coordination, accommodation, meals where specified, transport, supervision, project preparation, local logistics, field activities and administrative support. Only items expressly listed in the Placement Agreement are included.

6.4 Unless otherwise agreed in writing, the participant is responsible for travel, visa and immigration costs, personal expenses, additional accommodation, optional activities and other expressly excluded costs.

6.5 The participant must obtain written approval before incurring expenses on behalf of TPO. Reimbursement claims must be supported by receipts and other reasonable documentation. No reimbursement is due unless the expense was authorised and is covered by the agreed arrangement.

6.6 No additional programme charge may be imposed without explanation and written agreement. A late-payment charge or administrative fee may be applied only if expressly agreed in advance and permitted by applicable law.

6.7 Amounts that have fallen due under the Placement Agreement remain payable according to its terms. If a payment is overdue, TPO shall notify the participant of the outstanding balance and request settlement within a reasonable period. TPO may take reasonable and lawful steps to recover amounts due.

6.8 Proposed Cancellation and Refund Schedule

The following schedule is a proposed TPO policy, not a refund percentage prescribed by Ugandan law. It must be disclosed before payment and applied fairly, subject to mandatory legal rights:

(a) Cancellation more than thirty (30) calendar days before commencement: refund 90% of programme fees received, with up to 10% retained only for disclosed, reasonable and non-recoverable administration costs.

(b) Cancellation fifteen (15) to thirty (30) calendar days before commencement: refund 75% of programme fees received, less separately disclosed, reasonable and non-recoverable third-party costs already committed for the participant.

(c) Cancellation eight (8) to fourteen (14) calendar days before commencement: refund 50% of programme fees received, less separately disclosed, reasonable and non-recoverable third-party costs already committed.

(d) Cancellation zero (0) to seven (7) calendar days before commencement, or failure to arrive without notice: refund the unspent balance after deducting the fair value of services already delivered and disclosed, reasonable and non-recoverable commitments. Fees shall not automatically be treated as forfeited without assessing the circumstances and applicable law.

(e) After the placement begins: calculate any refund by reference to the unused portion of the programme, services already delivered, reasonable non-recoverable commitments, and the reasons for cancellation or termination.

6.9 Deductions under Clause 6.8 shall not operate as a penalty or override mandatory rights under applicable law. TPO shall provide an itemized calculation on request. Third-party costs deducted must be reasonably evidenced and shall not be charged twice.

6.10 If TPO cancels the placement before commencement and does not offer an alternative accepted by the participant, TPO shall refund fees received for services not provided, subject only to lawful and fair deductions for services already provided or costs that may lawfully be retained. If TPO cancels after commencement, TPO shall calculate a fair refund for undelivered services, subject to applicable law and the agreed terms.

6.11 If TPO offers postponement, the participant may accept the new dates in writing or elect the applicable cancellation and refund option. A material change to dates, project site or accommodation shall be communicated promptly and accepted by the participant where required by the agreement or law.

6.12 Where cancellation follows misconduct, breach of agreement or immigration non-compliance, financial consequences shall be assessed under the Placement Agreement and applicable law. TPO shall not impose unagreed charges.

6.13 Approved reimbursements, outstanding fees and refunds shall be reconciled in writing. Unless a shorter period is required by law, TPO should process an approved refund within fourteen (14) calendar days after the amount is agreed and necessary payment details are confirmed.

6.14 Where placement fees are collected through a website, online form, email or another electronic transaction, TPO shall provide the applicable supplier details, total price, payment terms and cancellation/refund policy before payment, as required by applicable law.

6.15 Cancellation, Termination and Outstanding Payments

Upon cancellation or termination of this Agreement, all outstanding arrears shall become immediately payable in full, and instalment payments shall cease unless TPO agrees otherwise in writing.

Any remaining fees relating to services no longer required shall be reviewed and settled in writing, taking into account services delivered, commitments made and applicable refund terms. All settlements shall be subject to applicable law.

ARTICLE 7: TRAVEL, VISAS AND IMMIGRATION

7.1 Unless an alternative arrangement is confirmed in writing, the participant is responsible for arranging and financing travel to and from Uganda and any other approved placement location.

7.2 A participant who is not a Ugandan citizen must obtain and maintain the visa, pass, permit or other immigration authorization appropriate to their intended activities and length of stay before commencing those activities. A tourist visa shall not be assumed to authorize volunteering or work.

7.3 TPO may provide reasonable supporting documentation but does not guarantee approval of any visa, pass or permit. The participant must comply with all immigration conditions and promptly notify TPO of any issue affecting lawful stay or participation.

7.4 TPO may defer or suspend participation until required immigration authorization is confirmed and shall not direct a participant to undertake activities inconsistent with their immigration status.

ARTICLE 8: ACCOMMODATION AND HOSTING ARRANGEMENTS

8.1 Where accommodation is included, TPO shall communicate the provider or type of arrangement, dates, conditions and inclusions before commencement. Accommodation may be with a host family, guesthouse, apartment or other agreed provider, subject to availability.

8.2 The participant shall respect the host, property owner, household members, neighbours and community; keep accommodation reasonably clean; use facilities responsibly; comply with house rules, quiet hours, access and security procedures; and promptly report maintenance, damage or safety concerns.

8.3 Prior approval is required for overnight guests or material changes to agreed living arrangements. The participant must not cause damage, disturbance or loss to the accommodation or its occupants.

8.4 Accommodation conditions may vary. Rural placements may involve basic facilities, shared amenities, bucket bathing, limited hot water, intermittent electricity or limited internet. Known material limitations relevant to the placement should be communicated before confirmation.

8.5 The participant is responsible for personal belongings and may be responsible, subject to applicable law, for damage caused by their negligence or misconduct.

8.6 Accommodation is covered only for the dates and terms expressly agreed. Extensions or additional nights require written approval. Independently arranged accommodation is subject to the participant’s agreement with the provider; TPO is not responsible for an independent arrangement it has not approved or undertaken in writing, without excluding any duty imposed by law.

8.7 The participant shall promptly notify TPO of changes to accommodation and make appropriate departure or alternative accommodation arrangements when the approved period ends.

ARTICLE 9: HEALTH, INSURANCE, SAFETY AND LIABILITY

9.1 Before the placement begins, the participant shall provide proof of valid health insurance covering the placement period and relevant travel, and a fitness certificate from a qualified medical practitioner where required for the planned activities.

9.2 TPO shall request only necessary fitness or safety information and shall not require detailed medical records, test results, X-rays or scans where a limited fitness statement or specific safety information is sufficient.

9.3 TPO shall disclose in writing any insurance it has arranged for the participant, including the type of cover, applicable period, material exclusions, excesses and claims procedure where known. TPO shall not promise comprehensive medical or accident cover unless the actual policy provides it.

9.4 Unless the Placement Agreement expressly states otherwise, the participant is responsible for obtaining adequate personal medical and travel insurance, including evacuation or repatriation cover where appropriate.

9.5 Before field activities, TPO shall take reasonable and proportionate steps to identify foreseeable risks, provide relevant safety instructions and supervision, and communicate activity-specific precautions. The participant shall follow instructions, use required protective equipment and not undertake tasks for which they have not been briefed or reasonably trained.

9.6 The participant shall promptly report injury, illness, near misses, unsafe conditions, security concerns or other incidents to the supervisor. TPO shall maintain an incident record and take reasonable follow-up action, including seeking emergency assistance where appropriate.

9.7 The participant shall take reasonable care for their own safety and that of others, communicate activity-related limitations relevant to safe participation, follow lawful instructions and avoid unauthorised high-risk activities.

9.8 Where TPO arranges accommodation through a third-party host or provider, the Placement Agreement shall identify the provider or type of arrangement, dates, inclusions, payment responsibilities and the process for raising concerns. TPO shall communicate known safety concerns and take reasonable steps within its control to address reported risks.

9.9 TPO may modify, postpone, suspend or cancel an activity where weather, health, security, environmental conditions or other risks make participation unsafe. Alternatives and financial consequences shall be addressed under Article 6.

9.10 Nothing in these Terms is a blanket release of TPO from responsibility or excludes liability for negligence, breach of statutory duty, fraud, wilful misconduct or any other liability that cannot lawfully be excluded or limited.

ARTICLE 10: PROFESSIONAL CONDUCT AND CULTURAL RESPECT

10.1 During authorised Programme activities, the participant shall act responsibly and professionally and respect Ugandan law, local customs, cultural practices and community leadership.

10.2 The participant shall treat all persons fairly and without discrimination; avoid harassment, bullying, intimidation, exploitation, violence and abusive conduct; respect personal boundaries, privacy and property; and avoid illegal activity or misuse of alcohol or other substances during Programme activities.

10.3 The participant shall avoid conduct that creates unnecessary risk to themselves, others, communities or TPO.

10.4 The participant shall obtain authorisation before making public statements or commitments on behalf of TPO and shall not misrepresent TPO’s position, make unauthorised financial commitments or use TPO’s name to solicit funds or benefits.

10.5 Concerns or disagreements should be raised respectfully with the designated supervisor or TPO management.

ARTICLE 11: SAFEGUARDING AND COMMUNITY ENGAGEMENT

11.1 TPO is committed to respectful and safe engagement with communities, including children, young people, women and other potentially vulnerable persons.

11.2 The participant shall comply with TPO’s safeguarding and child-protection instructions, maintain appropriate professional boundaries, obtain required authorisation before activities involving children or vulnerable persons, and respect consent, dignity, confidentiality and personal safety.

11.3 The participant shall not exploit, abuse, harass, intimidate or discriminate against any programme participant and shall promptly report suspected abuse, exploitation, misconduct or safeguarding risks through TPO’s designated reporting channel.

11.4 The participant shall not promise financial assistance, services, employment or other benefits on behalf of TPO unless expressly authorized in writing.

11.5 Research, interviews, surveys, photography and data collection involving community members must follow TPO instructions and applicable consent, ethical, safeguarding and data protection requirements.

ARTICLE 12: CONFIDENTIALITY, DATA PROTECTION AND PRIVACY

12.1 TPO shall handle personal data in accordance with the Data Protection and Privacy Act, 2019, the Data Protection and Privacy Regulations, 2021, and other applicable law. TPO shall maintain required registration with the Personal Data Protection Office (PDPO) and keep that registration current where required.

12.2 Before or at the time personal data is collected, TPO shall provide a privacy notice explaining, as applicable, TPO’s identity and contact details; categories and purposes of data collected; lawful basis for processing; whether provision is mandatory; recipients; any intended transfer outside Uganda; retention period or criteria; and how the individual may exercise applicable data-subject rights or raise a complaint.

12.3 TPO shall collect only data reasonably necessary for application, placement administration, safeguarding, safety, accommodation, insurance, reporting and other disclosed lawful purposes. Sensitive information, including health information, shall be restricted to what is necessary and handled confidentially.

12.4 Where consent is relied upon, it shall be freely given, specific, informed and unambiguous. Consent for optional publicity, newsletters or identifiable images shall be separate from acceptance of the placement where practicable and shall not be treated as compulsory merely because a person joins the Programme.

12.5 The participant shall use Confidential Information and personal data only for authorized purposes; protect it from unauthorized access; obtain permission before sharing internal documents, budgets, contact details, reports, photographs or other non-public information; and avoid unauthorised copying, forwarding, storage or publication.

12.6 The participant shall follow TPO’s data protection procedures, use approved storage and devices where specified, protect access credentials and promptly report suspected loss, unauthorised access, disclosure or alteration of data.

12.7 TPO shall maintain reasonable technical and organisational safeguards, restrict access to authorised persons, establish retention and secure disposal practices, and assess whether written data-processing terms are needed with third parties.

12.8 The participant shall promptly notify TPO’s designated privacy contact of an actual or suspected personal-data incident and cooperate with reasonable containment and investigation. TPO shall assess and make any notification required by law within the applicable period.

12.9 Confidentiality obligations continue after the placement ends but do not prohibit a disclosure required by law, a protected report to a competent authority or exercise of a legal right.

12.10 At the end of the placement, the participant shall return or securely delete TPO data and confidential records when instructed, subject to lawful retention obligations. TPO may retain records it is legally required or reasonably entitled to retain for disclosed purposes and applicable periods.

ARTICLE 13: MEDIA, INTELLECTUAL PROPERTY AND WORK PRODUCTS

13.1 Photographs, videos, audio recordings, reports, designs, graphics, field documentation and other media created, commissioned or collected during TPO activities or using TPO resources shall be managed in accordance with TPO’s policies and communications requirements.

13.2 By accepting the internship, the participant expressly acknowledges and agrees that TPO may photograph, record, retain, reproduce, edit, publish, display and reuse the collected media featuring or documenting the participant’s participation in TPO activities, without requiring separate approval for each subsequent use. Such use may continue during and after the internship, for legitimate organisational purposes, including programme documentation, environmental education, awareness campaigns, reports, proposals, presentations, publications, the website, newsletters, official social media, donor reporting, fundraising and partnership communications.

13.3 The participant understands that such media may remain in TPO’s archives and published materials after the internship ends. TPO shall not be required to remove or withdraw previously published materials solely because the internship has ended, provided their continued retention and use are lawful and consistent with applicable consent conditions, privacy, safeguarding and data protection requirements.

13.4 TPO shall obtain the necessary permissions and consent for identifiable third parties, particularly children and vulnerable community members, before using their images or recordings where required. The intern must respect all consent conditions, safeguarding instructions and requests not to be photographed or recorded.

13.5 To the extent permitted by law and subject to third-party rights and written agreements, work products created specifically for TPO shall belong to TPO or be assigned or licensed to TPO as expressly agreed in writing.

13.6 The participant shall not independently publish, sell, license, commercially exploit or share TPO project media, confidential information or non-public project materials for unrelated personal or third-party purposes without prior written authorization. Prior written approval is also required before using TPO materials or identifiable community media in portfolios, academic assignments, presentations or personal professional profiles.

13.7 Pre-existing materials owned by the participant or a third party remain subject to their original ownership and permissions. The end or termination of the internship does not automatically revoke TPO’s lawful rights to retain and use authorised media or transfer ownership of TPO work products to the participant.

ARTICLE 14: USE AND RETURN OF TPO PROPERTY

14.1 Equipment, documents, identification, access credentials, funds and other resources provided by TPO must be used responsibly and only for authorized purposes.

14.2 The participant shall not transfer, lend, sell, misuse or retain TPO property without permission.

14.3 Upon request or at the end of the placement, the participant shall return TPO property, documents and organizational materials and discontinue unauthorized access.

14.4 The participant shall not represent themselves as an authorized signatory, financial representative or official spokesperson of TPO unless expressly authorized in writing.

ARTICLE 15: COMMUNICATION, REPORTING AND COMPLAINTS

15.1 The participant shall maintain timely, respectful and professional communication with the designated supervisor.

15.2 The participant shall promptly report changes to availability or schedule, delays or difficulties with assignments, accidents or safety concerns, safeguarding issues, accommodation problems and concerns about programme delivery, supervision, finances or working conditions.

15.3 Before the placement closes, the participant shall complete agreed progress reports, the final report, handover notes and evaluation activities unless TPO agrees otherwise in writing.

15.4 Constructive feedback is welcome. Concerns should be raised through an appropriate TPO contact. Nothing in these Terms prevents a disclosure or report protected or required by applicable law.

ARTICLE 16: ABSENCE, CHANGES, SUSPENSION AND TERMINATION

16.1 The participant shall inform the supervisor as soon as reasonably possible if they cannot attend a scheduled activity or need to change agreed working arrangements.

16.2 TPO may reasonably adjust assignments or schedules because of weather, field conditions, partner availability, community priorities, safety concerns or other operational requirements.

16.3 Either party may raise concerns and seek a reasonable resolution. Where appropriate, the parties should discuss the concern and document agreed corrective steps.

16.4 Subject to applicable law and the Placement Agreement, TPO may suspend or terminate a placement in response to serious misconduct, repeated failure to meet agreed responsibilities, safeguarding violations, unauthorized financial activity, serious safety breaches or conduct that creates significant risk.

16.5 Where practicable, the parties should document the reason for termination, effective date, outstanding tasks, return of property, accommodation and departure arrangements, and financial matters requiring settlement.

16.6 Termination does not automatically end or transfer an accommodation arrangement. The participant must make appropriate departure or alternative accommodation arrangements and must not assume that TPO remains responsible for accommodation beyond the agreed period.

16.7 Outstanding fees, approved expenses, refunds and other financial matters shall be settled in accordance with Article 6, the Placement Agreement and applicable law.

ARTICLE 17: COMPLETION AND EVALUATION

17.1 At the end of the placement, the participant shall, as applicable, submit the final report and supporting documentation; complete the evaluation; hand over project files and work products; return TPO property and discontinue unauthorised access; settle financial matters; and confirm the placement end date and any separate accommodation arrangements.

17.2 TPO may issue a certificate or letter of completion subject to the participant meeting agreed Programme requirements. TPO may consider participation, completion and quality of assignments, professional conduct and submission of required reports.

ARTICLE 18: MISCELLANEOUS, FORCE MAJEURE AND GOVERNING LAW

18.1 Compliance and Code of Conduct:

All participants shall comply with TPO’s policies, code of conduct, safeguarding procedures, privacy requirements and applicable laws of Uganda. TPO reserves the right to suspend or remove a participant for misconduct, harassment, threats, or behaviour that endangers individuals, communities, staff, volunteers or the Organisation, subject to the applicable termination provisions.

18.2 Use of Feedback, Photographs and Testimonials

TPO may request feedback, photographs or testimonials for reporting, educational and promotional purposes. The use of identifiable images, personal information or testimonials shall be subject to the participant’s consent, applicable safeguarding requirements and TPO’s Data Protection and Privacy Policy. Consent to publicity shall not be a condition of participation.

18.3 Third-Party Organisations

Where a placement involves a partner Organisation or third-party service provider, TPO shall clarify its role and responsibilities. TPO shall not be responsible for independent acts or omissions of third parties to the extent permitted by law, but this does not exclude any duty or liability that legally rests with TPO.

18.4 Limitation of Liability

To the extent permitted by Ugandan law, TPO shall not be liable for indirect or consequential losses arising from participation. Nothing in this agreement excludes or limits liability for fraud, wilful misconduct, negligence where liability cannot lawfully be excluded, death or personal injury where exclusion is prohibited, or any other liability that cannot legally be limited. Any agreed financial limit on liability must be lawful, reasonable and expressly stated in writing.

18.5 Website and Information

Information published on TPO’s website is provided for general informational and promotional purposes. TPO endeavours to keep it accurate and current but does not guarantee that all information is complete or error-free. Placement-specific arrangements shall be governed by the written agreement between TPO and the participant.

18.6 Force Majeure

Neither party shall be held responsible for a failure or delay in performing its obligations to the extent caused by circumstances reasonably beyond its control, including natural disasters, extreme weather, epidemics, civil unrest, government restrictions or other comparable events. The affected party shall notify the other as soon as reasonably possible and take reasonable steps to minimize disruption. Both parties shall discuss appropriate changes, suspension or cancellation, including any applicable payment or refund arrangements under Article 6.

18.7 Governing Law and Dispute Resolution

This agreement shall be governed by the laws of the Republic of Uganda. The parties shall first attempt to resolve disputes amicably through good-faith discussions. Where a dispute cannot be resolved amicably, either party may pursue the remedies available under Ugandan law before a court of competent jurisdiction.

18.8 Time References

Unless otherwise stated, all dates and times in this agreement shall be interpreted using East Africa Time (EAT, UTC+3).

18.9 Entire Agreement and Amendments

This agreement, including its schedules and referenced TPO policies, constitutes the agreement between TPO and the participant concerning the placement. Any amendment, extension or change must be recorded in writing and acknowledged by both parties.

If any provision is found unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
